The following terms of use (these “Terms & Conditions”), govern your access to and use of the True Path website, including any content, functionality and services offered on or through www.truepathweb.com (the “Site”) by True Path Web Solutions, Chennai, India and its Freelancer network as applicable. True Path Web Solutions and its freelancer network are collectively referred hereto as “True Path” or “we” or “us” and “you” or “user” means you as an user, client, customer of the Site.

Acceptance of Terms

In accessing any page of any web-site operated by www.truepathweb.com you are deemed to have read, understood and agreed to be legally bound by these terms and conditions for every visit to this web site

services offered

True Path may provide Client with one or more services, included but not limited to, following: Website Design & Development and affiliated products/services, Digital Marketing, Mobile Application Development, Content Development, and/ or Maintenance and Support Services. Unless explicitly stated otherwise, any new feature that augments or enhances the Services shall be considered to be part of the Services. True Path reserves the right to modify, suspend or discontinue the Services (or any part thereof), based on non-cooperation, non payment, or unwanted delay from client, at any time, without notice. Client expressly agrees that Client, or any related third party, shall not hold True Path or its suppliers liable for any losses, damages or consequences whatsoever from such modification, suspension or discontinuation of the Services.

General Terms

  1. Upon quote acceptance, advance payment is processed to start the project. As required by the project, we may send a Scope of Project Document to discuss the requirements in detail.
  2. Charges for the Domain name registration, Website Hosting space will be extra.
  3. Once we have input details like logos, images, contents, we will assign a project Manager & start the work.
  4. Unless otherwise specified in the project proposal/Quote, this Agreement assumes that all text will be provided by the Client in electronic format (text files or Email or MS Word document delivered via email). All graphics need to be provided electronically in .jpg, .png format.
  5. You will be updated via emails and/or telephone calls as the project demands. However, please do not hesitate to contact us when you need a project status. Also, please always keep us updated with your relevant email address/contact details.
  6. We encourage you to provide all the necessary details at the beginning of the project, to ensure that the project team time is used efficiently on your project and you do not incur any unnecessary additional costs.
  7. your website can be made live in 3 to 5 working days after Go-Live approval. Please note that we require full payment before transferring the website to any external servers.

EXECUTION STRATEGY

Our execution strategy incorporates proven methodologies, extremely qualified personnel, and a highly responsive approach to managing deliverables. Following is a description of our project methods, including how the project will be developed, a proposed timeline of events, and reasons for why we suggest developing the project as described.
True Path Web Solutions will appoint a one point contact and will function as the primary contact for the client.
To ensure proper project communication, True Path Web Solutions proposes:
• Submission of a weekly status report to the client.
• Conduct of a weekly meeting with client to discuss status of the project.
• Email will be the primary medium for communication and for content transfer.

QUALITY ASSURANCE / TESTING

We have very strong Quality Assurance & Testing personnel for any website / application that are developed by our team to make sure it is up to benchmark & secured.
• Unit & User Acceptance Testing: Tested for platform & devices compatibility.
• Functional Testing: Tested for App matches client specification, logics & business flow.
• Security Testing: Tested for password encryption, hacks, field & data validation.

DELIVERABLES

The Project will be delivered in 3 phases – Design of CMS Website, Alpha, Testing & Beta Release. In Beta phase the Website will be published into the specified Hosting server specified by the client.
Before the Launch of the website we provide following services :
• 1 hour face to face training in the use of the WordPress Content Management System.
• A workflow record of theme customisations, and a record of all configuration parameters will be provided.
• Admin & Staff logins and passwords will be provided.

Database, E-Commerce & Application Development

True Path is not liable for any losses caused by any software that is created for the client. Though we take every care to ensure the products are accurate and error-free, the ultimate responsibility remains with the Client to ensure that all products and software are functioning properly before use.

Where site and applications are developed on servers that are not provided by True Path, the Client will be responsible to provide and/ or seek any information, support, additional software and/ or co-operation relating to the server required for application to be developed correctly. For developing large applications, the Client will be responsible for providing a suitable testing environment, identical to the Client’s final production environment.

Any application or programming pertaining to a website developed by True Path, the Client is expected to fully test them before making the same generally available for use. 

Payments terms

  • Advance Payment may be required from a new client before any project is approved from  True path.
  • Domain registration renewal or hosting or any payment relating to any 3rd party products or service purchased on behalf of the client must be paid in full and is non-refundable. In case of all renewals, we must notify you at least 10 days prior to the date of renewal.
  • Milestone payments must be made within 5 working days of each schedule unless mutually agreed upon. The final payment must be made once the website/application/project is live.
  • Payment for services is due by cheque or bank transfer. Bank details will be made available on invoices.

Termination

Termination of the Web Development project by the Client must be requested in writing and will be effective on receipt of such notice. E-mail or telephone requests for termination of services will not be honoured until and unless confirmed in writing. The Client will be invoiced for design work completed to the date of first notice of cancellation for payment in full within fifteen (15) days.

Copyrights

True Path software codes (not included in open source software) are copyrighted by True Path web solutions. The Code may be assigned at an additional cost after all previous invoices have expired, provided that the Code is used only for re-use or modification for further development for the client or subsequent owners of the same legal entity. In no case will the codes be not allowed to be resold or used for duplication purposes.

The Client retains the copyright to data, files and graphic logos provided by the Client, and grants True Path the rights to publish and use such material. The Client must obtain permission and rights to use any information or files that are copyrighted by a third party. The Client is further responsible for granting True Path permission and rights for use of the same and agrees to indemnify and hold harmless True Path from any and all claims resulting from the Client’s negligence or inability to obtain proper copyright permissions. A contract for Web site design and/or placement shall be regarded as a guarantee by the Client to True Path that all such permissions and authorities have been obtained. Evidence of permissions and authorities may be requested.

subcontract

We reserve the right to subcontract the project / work to our trusted  freelancer networks for any services that we have agreed to perform for you.

Governing Law

This Agreement shall be governed by Indian Law, under the jurisdiction of Chennai, TamilNadu, India.

Liability

True Path web solutions excludes itself, its Employees and or Agents from all and any liability from:

  • Loss or damage caused by any inaccuracy
  • Loss or damage caused by omission
  • Loss or damage caused by delay or error, whether the result of negligence or other cause in the production of the web site
  • Loss or damage to clients’ artwork/photos, supplied for the site. Immaterial whether the loss or damage results from negligence or otherwise. The entire liability of True Path to the Client in respect of any claim whatsoever or breach of this Agreement, whether or not arising out of negligence, shall be limited to the charges paid for the Services under this Agreement in respect of which the breach has arisen.

Please note that True Path web solutions has the right to change the terms and conditions without notice.
